 WNS (Holdings) Limited (NYSE: WNS) (“WNS”), a digital-led business transformation and services company, today announced the successful closing of its acquisition by Capgemini S.E. (EURONEXT PARIS: CAP) (“Capgemini”) pursuant to the terms of the Transaction Agreement (the “Agreement”) dated July 6, 2025 (the “Transaction”). Under the terms of the Agreement, Capgemini has acquired WNS for a cash consideration of $76.50 per WNS share, with the total cash consideration amounting to $3.3 billion, excluding WNS net financial debt.
