This is paired with a wider “Digital Fitness Check” and timelines that link future high‑risk AI health applications to availability of harmonised standards, with long‑stop dates into 2027–2028 for full compliance.​EU digital health strategy and eventsThe European Digital Health Summit in Madrid (1–2 December) focused on the European Health Data Space, cross‑border EHR interoperability and a “One Health” approach, highlighting that governance and access rules, rather than technology, are now the key bottlenecks. Fresh Commission communication this week also underlines that all EU countries now provide electronic health record access and are investing in e‑prescriptions, AI integration and digital governance as levers for productivity and resilience.​NHS and UK digital initiativesIn the UK, a new reference guide from NHS Confed and national digital programmes detail up to £10 billion in committed NHS tech and digital transformation spend by 2028/29, with priorities around the NHS App, virtual wards, AI infrastructure and standardised use of wearables. The wider UK digital health strategy emphasises the NHS App as the “front door” to services, integration of consumer wearables into a single patient record, and expansion of AI‑powered tools for advice, triage and service comparison.​Care, productivity and social care digitisationThe UK government reported that four in five care providers now use digital social care records, covering nearly 90% of people drawing on care, and framed this as a key driver of administrative time savings and better data sharing with NHS services. Independent analysis of NHS productivity this month links digital tools, including electronic records and decision‑support, to the system’s ambition of 2% annual productivity growth in the medium term.​Ecosystem signals and fundingWeekly European startup funding round‑ups continue to show steady but selective capital deployment into verticalised AI and digital health infrastructure, with HealthTech deals featuring among broader tech raises across the continent. EU‑funded initiatives such as EDiHTA are being showcased in Commission‑backed webinars to demonstrate how projects support digital health transformation and to feed recommendations into future EU policy and reimbursement frameworks.&gt;&gt;&gt;European MedTech this week is defined by three themes: regulatory moves around data and devices, imaging and diagnostics innovation (largely via RSNA spillover), and fresh capital forming for growth-stage and infrastructure-heavy plays in Europe.​Regulation and policyThe European Commission’s emerging “Digital Omnibus” package includes a proposed “Data Unlock” that would ease the secondary use of health data for AI training under GDPR, with significant implications for MedTech and imaging AI developers.​ The Commission also published updated material on medical device availability monitoring and implementation of MDR/IVDR, signalling continued pressure on supply, data collection on market gaps, and further tweaks to the device rulebook through 2025–2026.​ Imaging, AI and platforms At RSNA 2025, European majors such as Siemens Healthineers and Philips pushed next‑generation MRI and CT platforms emphasising energy efficiency and deeply embedded AI (for example, AI‑native spectral CT and interventional MRI workflows), reinforcing Europe’s strength in high-end imaging hardware plus software.​ GE HealthCare’s roughly 2.3 billion dollar acquisition of imaging IT vendor Intelerad, while US‑led, is highly relevant for European providers because it consolidates PACS/VNA and advanced imaging software into a tighter GE ecosystem that will compete more directly with incumbents like Agfa and Sectra across EU hospitals.​ Capital flows and M&amp;A Angelini Ventures and the European Investment Bank formally committed a 150 million euro co‑investment vehicle (75 million euros each) aimed at European biotech and MedTech scale‑ups, explicitly targeting the Series B “valley of death” that often pushes founders toward US buyers.​ Broader MedTech M&amp;A commentary for 2025 highlights continued strategic consolidation in areas such as ophthalmology clinics and robotics, with Europe remaining a core geography for clinic networks and surgical technology platforms seeking scale and integrated care models.​ Events and ecosystem signals MedTech Europe is preparing its annual value‑based procurement conference in Brussels (9 December), keeping reimbursement, outcomes-based contracting, and hospital procurement reform high on the agenda for device manufacturers selling into EU health systems.

At the 2025 HealthInvestor Healthcare Summit in London, healthtech took centre stage with its own dedicated stream for the first time, recognising digital health’s growing influence in health and social care as well as its vital role in the UK economy. The session highlighted how factors like company size, location, products/services and incentives such as EIS can shape your options and compliance requirements. We also explored how the UK’s evolving investment landscape affects companies from startup to scale up and beyond.&nbsp;Here are the key takeaways for healthtech businesses looking to make their next move.Regulatory compliance is non-negotiableHealthcare isn’t the place to “move fast and break things.” Compliance, effective clinical and corporate governance, and strong partnerships are essential from the outset. Regulatory and other due diligence assessments covering areas like medical device classification, AI compliance, IP ownership, and data protection shouldn’t be left until an investment round or a sale process is underway. Investors and buyers will walk away if relevant consents and registrations aren’t already in place and requirements being complied with.Consider delaying institutional funding until traction is proven Founders often rush into institutional funding too early. Angel investors and experienced entrepreneurs can provide capital and guidance without the heavy terms that come with institutional money, such as board seats, veto rights, and complex term sheets. If your business is still validating its market or ensuring it has all necessary authorisations, angel funding may be the better route. Wait until you have traction to negotiate from a position of strength.Tax incentives and EIS Tax incentives like the (Seed) Enterprise Investment Scheme ((S)EIS) remain a powerful tool for early-stage healthtech companies, attracting investors by offering tax reliefs and encouraging capital flow into the sector. However, the structure and timing of funding rounds - especially when using convertible instruments rather than advance subscription agreements - can affect (S)EIS eligibility. Founders should seek specialist advice to ensure that their fundraising approach doesn’t inadvertently disqualify them or their investors from these valuable incentives.Cap tables: keep it clean and ready for growth As companies progress through multiple funding rounds often involving angels, friends and family, and latterly institutional investors, cap tables can quickly become crowded and complex. A messy or fragmented cap table can be a major obstacle during future fundraising or M&amp;A, making it harder to secure new investment or close a sale. Founders should regularly review and simplify their cap table where possible, ensure clear vesting schedules, and be mindful of how each new investor or share class affects control and decision-making down the line. A clean cap table makes you more investable - and more saleable – as do well-drafted drag along provisions to enable founders and lead investors to carry minority shareholders with them.Convertible instruments can complicate exits Convertible loan notes and advance subscription agreements are common in early-stage funding, including for bridging rounds or Series A extensions. However, these instruments can cause real headaches during M&amp;A. Unconverted notes may include steep repayment obligations or complex consent rights that can block deals. Founders should always consider whether a deal structure could make the business harder to sell or raise money for in the future.Scrutinise anti-dilution and liquidation preferences Anti-dilution clauses can protect investors in down rounds, but full ratchets are founder-hostile; a weighted average approach is usually fairer. If you must give anti-dilution protections, negotiate something in return, like shorter vesting or limits on duration. Liquidation preferences can also be a minefield. While a 1x non-participating preference is relatively standard, more aggressive terms can leave founders with little or nothing at exit, especially if the business sells below expectations.Negotiate control and board rights carefully Governance evolves as a company grows, but founders shouldn’t give up control prematurely. A board seat for someone with just 5 -10% ownership might sound reasonable, but should only be conceded if they or their representative bring real value. When negotiating board roles, test what value each person will add, whether through introductions, sector expertise, guidance, or strategic input.Vet investors for strategic fit Not all investors are created equal. The best ones bring genuine value, others just money and restrictions on control. Founders should do “reverse diligence” and ask what investors will contribute beyond capital. The best investors challenge, support, and help you succeed - not just monitor your progress. Cultural and strategic alignment is as important as valuation.Final thought The right deal structure doesn’t just close the next round - it sets the foundation for long-term success. 'The AI Revolution Won't Happen Overnight'&nbsp; &nbsp;&nbsp; Nelson Advisors has been featured in the Harvard Business Review article 'The AI Revolution Won't Happen Overnight' referencing IBM Watson's cautionary tale of promises made with Healthcare AI solutions. &nbsp;&nbsp; For all of the concern about AI’s biases, we tend to overlook our own, and this might be especially true in enterprise adoption. Enterprise AI isn’t plug-and-play. It collides with outdated systems, regulatory roadblocks, risk-averse corporate cultures, AI talent shortages, and procurement bottlenecks. The barriers aren’t technical, they’re systemic. It took us 100 years to add wheels to luggage, don’t underestimate the forces that balance the pace of technology diffusion. &nbsp;&nbsp; IBM Watson Health is a cautionary tale. IBM promised to “outthink cancer,” betting big that AI would transform healthcare. But by 2022, Watson was sold for parts, its potential crushed by messy, fragmented medical data, regulatory red tape, and real-world complexity. Hospitals found it unreliable. Doctors found it impractical. Ethical concerns mounted. Watson didn’t fail because of AI—it failed because IBM underestimated how difficult real-world implementation would be. &nbsp;&nbsp; AI will transform industries, just not at Silicon Valley speed. It will happen on enterprise time: longer, slower, and with far more friction than most expect. Companies that fall victim to bias and ignore these realities will waste resources, overpromise results, and erode trust. The winners in AI won’t be the ones making the boldest claims. Based on the information provided by the patient about their condition, the information in the patient’s notes about their background health and the information about local health services, the tool is able to either offer advice on self-care or direct the patient to the most appropriate service first time. &nbsp;&nbsp; This is of huge value to patients and the system, because it improves the quality of care delivered and the efficiency of the health system providing it. In our paper Preparing the NHS for the AI Era: Why Smarter Triage and Navigation Mean Better Health Care analysis by the Tony Blair Institute for Global Change shows that implementing AI across navigation services could free up 29 million GP appointments annually by reducing unnecessary and inefficient pathways to care. &nbsp;&nbsp; TBI also estimates that it would deliver £340 Million in productivity gains per year for non-clinical workers via GP and NHS 111 services; this is about one-fifth of the cost of NHS 111. &nbsp;&nbsp; A good example of AI-powered navigation assistants can be found in California, where the Sutter Health app has partnered with Ada, an AI triage and navigation platform. This enables patients to query their symptoms and use probabilistic AI to suggest next steps.
