A second pattern is now forming: “Sovereign AI,” in which a health system runs its own AI platform on its own infrastructure, on-premises or in a dedicated single-tenant environment, so that protected health information (PHI) never leaves its perimeter. The pitch to a CIO is direct: no business associate agreement for the AI layer because PHI stays in-house, a smaller third-party breach surface, no vendor pricing leverage over compute, and full control of data, models and governance. The same forces that make this attractive to providers reshape where value accrues for investors, away from undifferentiated cloud wrappers and toward the silicon, systems, deployable model layer and on-prem-native applications that make sovereign deployment practical. 2. &nbsp;Structural drivers• &nbsp; &nbsp;Data sovereignty &amp; regulation, tightening residency rules plus HIPAA/GDPR make “PHI never leaves the building” a compliance feature, not just a preference; removing the AI vendor as a data processor simplifies the risk surface.• &nbsp; &nbsp;Latency — imaging triage, ICU monitoring, surgical robotics and telesurgery need sub-second, deterministic response that round-trips to the cloud cannot reliably guarantee.• &nbsp; &nbsp;Security — a smaller external attack surface and fewer third-party sub-processors are increasingly decisive after a wave of healthcare breaches.• &nbsp; &nbsp;Cost &amp; vendor leverage — owning the compute caps per-query and egress costs and removes a SaaS vendor's pricing power, attractive at system-wide inference volumes.• &nbsp; &nbsp;Governance &amp; IP — control of models, fine-tuning data and audit trails, with no exposure to a vendor changing models underneath a clinical workflow.• &nbsp; &nbsp;Technical tailwind — the shift from large models to small, task-specific models (SLMs), plus federated learning and on-device inference, makes local deployment genuinely viable on modest hardware.4. &nbsp;M&amp;A &amp; Investment Dynamics Three forces shape the deal landscape. First, consolidation: 2026 is widely expected to bring AI-company combinations as health systems favour fewer, broader platforms over point solutions, good for roll-up theses and platform M&amp;A. Second, an infrastructure kingmaker: NVIDIA's ecosystem (Clara, IGX, NIM, AI Enterprise, plus partnerships such as Abridge) increasingly dictates who can deploy on-prem at all, so proximity to that stack is itself a value driver. Third, capital concentration: with AI absorbing a majority of US digital-health funding at a clear premium, well-capitalised application leaders have the currency to acquire the deployment and model-layer capabilities that make sovereign AI work. Most natural acquirers• &nbsp; &nbsp;EHR &amp; health-IT incumbents — Epic, Oracle Health and similar, embedding on-prem-capable AI into the system of record.• &nbsp; &nbsp;Infrastructure OEMs — Dell, HPE and channel integrators bundling validated healthcare AI appliances.• &nbsp; &nbsp;Scaled AI application companies — rolling up model-layer, deployment and adjacent clinical point solutions into platforms.5. &nbsp;Risks &amp; counter-thesis• &nbsp; &nbsp;Hyperscaler hybrid blunts the wedge: AWS Outposts/GovCloud, Azure Stack and Google Distributed Cloud offer “data-stays-put” options that capture much of the sovereignty benefit without true on-prem ownership.• &nbsp; &nbsp;Capex burden: many health systems lack the capital, GPUs and ML talent to run their own stack, slowing adoption versus managed alternatives.• &nbsp; &nbsp;“On-prem” is often overstated: several ambient and documentation leaders still run in HIPAA-compliant US cloud (e.g. Abridge), so the addressable on-prem workload may be narrower than headlines imply.• &nbsp; &nbsp;Hardware margin commoditisation: outside NVIDIA, systems economics can be thin and cyclical.• &nbsp; &nbsp;Cloud economics keep improving, and model efficiency gains could re-tilt some workloads back toward managed services.6. &nbsp;Valuation Creation• &nbsp; &nbsp;The enablement wedge — the deployable model / MLOps / federated-learning layer is the highest-margin, most defensible exposure and the clearest acquisition target.• &nbsp; &nbsp;On-prem-native clinical apps — assets architected for the perimeter in latency- or sovereignty-critical workflows (imaging, monitoring, on-device documentation).• &nbsp; &nbsp;Validated-appliance &amp; SI plays — integrators and platform startups turning “run-your-own AI” into a product — fragmented today, ripe for consolidation.Net: treat on-premises / sovereign AI as the infrastructure counter-trend to cloud-first clinical AI — smaller than the application market, but structurally advantaged by regulation and latency, and underpenetrated at the enablement layer. Boots has become“nimbler and faster” without Walgreens, with profits up 20–30%, and the hard regulatory,financial and legal work of the carve-out is now behind it. That de-risks the asset andexplains why rivals that “didn’t want to do the carve-out” are circling now.“If the deal is on the table now, it’s just ahead of schedule. They (Sycamore) might havethought two or three years, but if they can get the 2–3x return they had in mind, they won’twait — they’ll take the money. That’s their job: to generate returns,” said PriceWhat’s likely to drive premium valuation for Boots is its ‘bricks and clicks’ model: adominant high-street footprint plus a sizeable online channel. Additionally, Price noted thatBoots is no longer a simple pharmacy retailer but a wellness-led platform, leaning intowomen’s health, menopause, femtech, gut health and GLP‑1 weight loss, which expandsits addressable market.“These are high‑growth markets, and Boots seems perfectly positioned to capture a lot ofthis growth,” said Price.&nbsp;If a trade sale falls through, another expected exit route is a listing in London. Accordingto Price, an IPO in London is credible.&nbsp;“Outside of Tesco Clubcard, Boots Advantage Card is probably the biggest retail datasource out there. The ability to mine that data, feed algorithms and build a data and AIstory would be a major strength in any IPO,” said Price. However, he noted that publicmarkets are currently favouring tech assets. Additionally, a listing would invite greaterscrutiny of its debt.&nbsp;“If it’s listed, Boots comes under quarterly results, full P&amp;L (profit &amp; loss) scrutiny,everything public, it’s just a lot more pressure. You have to ask whether private equityreally wants that level of corporate governance right now, or whether they’d rather buildBoots into a stronger position first,” said Price.&nbsp;“An IPO is possible, but I don’t think it’s a short‑term play. In the near term, it wouldprobably be a trade sale, either to another private equity fund or a strategic, like a largeretail or pharmacy group,” he added.

Two days into HLTH Europe 2026, the mood on the floor is more disciplined than exuberant. The conversations that matter to founders, investors are dealmakers have shifted decisively away from “what can AI do” toward “what will it underwrite”, durable margins, defensible data positions and regulatory tailwinds with real cash-flow consequences.&nbsp;1. &nbsp;Capital is concentrating, not contracting. The headline numbers reset expectations: global digital-health venture funding reached roughly $7.1Bn across 216 deals in Q1 2026, a modest c.7% year-on-year decline in value but an 83% jump in average deal size to c.$38.4M. Europe placed second with c.$1.16 Bn, behind a US that absorbed roughly three quarters of global capital. The signal for sponsors is clear, fewer, larger, later-stage rounds, with early-stage names fighting harder for a shrinking pool. Conviction beats spray and pray. 2. &nbsp;The European Health Data Space is the structural thesis of the show. EHDS has moved from policy slideware to an investable roadmap. Smart capital is flowing into the “plumbing”, consent management, data-flow and interoperability middleware that sits between legacy hospital EMRs and modern applications. With most European providers technically unable to meet new data-fluidity requirements unaided, third-party translation layers become near-compulsory infrastructure. We expect this to be the most fertile ground for Series B+ buy-and-build over the next 18 months. 3. &nbsp;AI is now table stakes and that compresses the premium. Every credible pitch assumes AI; almost none is differentiated by it alone. The practical consequence is a deflationary wave on thin “AI-wrapper” businesses, where investors are no longer paying a premium for capability that is rapidly commoditising. The repricing favours companies with proprietary data, clinical validation and workflow lock-in over those whose moat is a model they do not own. 4. &nbsp;The valuation regime has flipped from growth to profitability. The clearest through-line across investor sessions is the move from top-line growth multiples toward a profit-weighted “Rule of 40” lens, EBITDA visibility, margin consistency and a credible path to cash generation. 2021-vintage marks are still working through the system, and we anticipate continued down-rounds, structured recapitalisations and insider-led extensions as the gap between last-round and clearing prices closes. 5. &nbsp;GLP-1s are reshaping the care model and the cap table. Metabolic care remains the gravitational centre. Beyond the molecules, the value migration is toward the connected-care wrapper, adherence, monitoring and behaviour change and toward the shifting power dynamic between patients and providers. For acquirers, this is a live convergence zone where pharma, payers and digital-health platforms are all circling the same assets, which should support competitive M&amp;A processes. 6. &nbsp;“Shadow AI” is the new diligence line item. Generative AI is entering clinical workflows faster than governance can follow, and unsanctioned “shadow AI” use is now an openly discussed operational risk. For investors this cuts two ways, it is a genuine liability to underwrite in diligence, and simultaneously a product category in its own right, as governance, audit and oversight tooling attracts strategic interest. 7. &nbsp;Liquidity pressure is forcing the exit conversation. With the IPO window still narrow, the realistic path to liquidity runs through M&amp;A. Founders and their backers are increasingly receptive to consolidation, and we see buy and build sponsors actively exploiting a fragmented European market, assembling platforms from sub-scale point solutions and targeting trade or sponsor exits. Expect process activity to pick up materially through H2. 8. &nbsp;Infrastructure beats apps for the patient capital. A recurring investor refrain favours “picks-and-shovels” over front-end point solutions. Backend infrastructure, interoperability, identity, security and the data layer, offers stickier revenue and clearer defensibility than yet another patient-facing app competing for the same reimbursement and attention. Capital allocation is following that logic. 9. &nbsp;Prevention, longevity and “silvertech” are forming as a fundable category. Demographic pressure is pushing prevention, care-at-home and ageing-population technology from theme to thesis. It remains earlier and more fragmented than the infrastructure trade, but it is attracting dedicated fund formation and strategic attention, one to track for early positioning rather than near-term scaled deployment. 10. &nbsp;Europe's regulatory tailwind is its edge and its exit depth is the question. The transatlantic gap is the elephant in the room: the US still commands the lion’s share of capital, yet Europe’s EHDS-driven regulatory clarity is a genuine differentiator that US markets lack. The overwhelming consensus across Manchester’s exhibition halls last week was that the NHS can no longer simply "manage" its way through modern backlogs; it has to transform its way out.🔀 Interoperability &amp; Data Sharing1. The Single Patient Record is Non-Negotiable Discussions focused heavily on moving past fragmented local trusts toward a unified Single Patient Record. True digital maturity means data seamlessly follows the patient across primary, secondary and social care, breaking down traditional care boundaries.2. The Governance of Trust While data sharing opens incredible clinical doors, speakers repeatedly emphasised that public confidence and robust governance are the actual gatekeepers. Interoperability fails if the public does not trust how their data is secured, accessed and owned.🤖 The Realities of AI Integration3. "Human in the Loop" and Safety SafeguardsThe buzz around Artificial Intelligence shifted from flashy pilots to concrete clinical responsibility. Industry leaders stressed that healthcare organisations retain ultimate liability for AI safety; technologies cannot simply be "deployed and forgotten." The consensus is a strict reliance on continuous monitoring and maintaining a human in the decision-making loop.4. Eradicating Administrative BurdenRather than replacing clinicians, AI's immediate, high-impact victory is in "buying back time." Tools like Ambient Voicetechnology are moving from novelty to necessity, alleviating dense administrative data entry so primary care clinicians can look at patients instead of screens.💰 Funding &amp; Financial Sustainability5. At the same time, the market is getting crowded and has a few regulatory hurdles.&nbsp;DTx can extend care to a wider group of people compared to traditional medicine.&nbsp;The main challenges include the lack of regulatory and cybersecurity infrastructure for this emerging field, and limited clinical adoption due to lack of awareness or education.&nbsp;Reimbursement model hinders DTx clinical translation as patients become hesitant to try out advanced technologies.&nbsp;DTx startups' go-to-market strategies need to address a broad range of stakeholders in the DTx ecosystem to gain successful market entry, and clinical adoption can be improved through digital health education.It is foreseeable that DTx will be integrated into emerging technologies such as smart implants and have greater emphasis on preventive care .

However, their effective use in outpatient settings in Germany remains limited. To overcome this gap, the role of digital health navigators (DHNs) has been introduced. DHNs are trained individuals who support patients and health care professionals in selecting, using, and integrating DMHAs into care. Despite increasing interest in this role, there is limited evidence on the competencies, knowledge, and personal attributes required for DHNs to work effectively in mental health settings.IntroductionMental health conditions are a significant global concern, with a substantial and increasing number of individuals affected [1,2]. A recent study shows that approximately half of the global population is expected to experience at least one mental disorder by the age of 75 years [3]. This rising prevalence has profound implications not only for individuals but also for societies and economies worldwide. The burden of poor mental health extends far beyond the direct costs of treatment, encompassing substantial indirect costs associated with reduced productivity. Depression and anxiety disorders alone cost the global economy approximately US $1 trillion annually in lost productivity [4]. In contrast, the total economic impact of mental health conditions, including lower employment rates and reduced productivity, is estimated at up to 4.2% of GDP in Organisation for Economic Co-operation and Development countries [2]. Furthermore, untreated mental health conditions often follow a chronic course and are associated with substantially increased risks of physical comorbidities, excess premature mortality, and greater health care usage [5,6]. Addressing mental health issues promptly is thus essential to prevent long-term consequences. Early intervention and access to appropriate care can mitigate the progression of mental disorders [7].In Germany, the so-called “Digitale Gesundheitsanwendungen (DiGA; in English: digital health application)” refers to low-risk, Conformité Européenne–marked digital health apps that are intended for the diagnosis, monitoring, or treatment of diseases. They must demonstrate positive health effects to be reimbursed by statutory health insurance. Germany implemented legislation for DiGA in December 2019, becoming the first country in the world to combine regulatory approval with reimbursement for DTx [18,19]. Since then, approved DTx have been reimbursed by statutory health insurance funds. However, widespread adoption remains limited in Germany [20,21].
